About These Terms

These Terms of Service govern access to and use of the TheUrbanNet platform, website, related pages, and any associated features, content, or services made available by TheUrbanNet LTD (“TheUrbanNet”, “the Company”, “we”, “our”, or “us”).

By accessing or using TheUrbanNet, creating an account, browsing listings, submitting information, or otherwise using any part of the platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use TheUrbanNet.

These Terms apply to all users of the platform, including visitors, account holders, customers, and independent service providers.

About TheUrbanNet

TheUrbanNet is a digital platform that enables users to discover, view, and connect with independent service providers.

TheUrbanNet operates solely as a technology and discovery platform. We are not the provider of the services advertised, promoted, listed, or otherwise made available through the platform.

Unless expressly stated otherwise in writing, TheUrbanNet does not supply, manage, supervise, or control those services.

We do not currently offer booking or payment functionality within the platform.

Independent Service Providers

All service providers listed on TheUrbanNet operate as independent service providers. They run their own businesses and are responsible for the services they offer.

Independent service providers are not employees, agents, partners, or representatives of TheUrbanNet. TheUrbanNet does not own, employ, or operate the providers listed on the platform.

Each provider is solely responsible for:

  • The services they offer and how they are delivered
  • Their pricing and availability
  • Their communications with customers
  • Any contractual arrangements entered into with customers
  • Compliance with applicable laws and regulations
  • Their tax affairs, insurance, licences, registrations, and professional obligations

Nothing on TheUrbanNet creates an employment, agency, joint venture, franchise, or partnership relationship between TheUrbanNet and an independent service provider.

Eligibility and Accounts

You must be legally capable of entering into a binding agreement to use TheUrbanNet.

Where account registration is required, you agree to:

  • Provide accurate, complete, and up-to-date information
  • Keep your account details secure
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for activity carried out through your account, unless caused by our failure to take reasonable security measures

We may suspend or restrict accounts where reasonably necessary for safety, security, legal, or compliance purposes.

Platform Use

TheUrbanNet allows users to browse, discover, compare, save, and connect with independent service providers.

Depending on the features available at the time, users may be able to:

  • Create an account
  • Complete a profile
  • Browse categories and provider pages
  • View content, offers, portfolios, promotions, or other provider information
  • Contact providers through messaging for initial enquiries
  • Use other platform tools or features made available from time to time

Messaging functionality is limited to initial communication. It does not facilitate bookings, payments, or service agreements within the platform.

TheUrbanNet may add, remove, amend, suspend, or discontinue features, functions, categories, tools, or parts of the platform at any time.

You agree to use TheUrbanNet lawfully and responsibly.

You must not:

  • Submit false or misleading information
  • Impersonate another person or business
  • Upload harmful, unlawful, or abusive content
  • Attempt to disrupt, damage, or interfere with the platform

We may remove content or restrict access where misuse occurs.

Listings and Provider Content

Independent service providers are responsible for all content they upload or make available on TheUrbanNet.

This may include:

  • Profile information
  • Service descriptions
  • Images and videos
  • Portfolio content
  • Pricing and availability
  • Offers and promotions
  • Credentials and supporting documents
  • Statements made about their services

By uploading content, providers confirm that they have the necessary rights, permissions, and consents to use and share that content.

Providers must ensure that their content is accurate, lawful, and does not infringe intellectual property, privacy, or other rights.

TheUrbanNet reserves the right, but does not undertake an obligation, to review, moderate, refuse, remove, edit, reformat, or restrict content at its discretion.

No Endorsement

TheUrbanNet may display providers, listings, profiles, portfolios, reviews, promotions, featured sections, editorial selections, search results, and other material for discovery purposes.

Unless expressly stated otherwise, this does not mean that TheUrbanNet endorses, recommends, certifies, or guarantees any provider or service.

Any decision to engage with an independent service provider is made by the user at their own discretion and risk.

Platform Visibility and Features

TheUrbanNet may organise provider visibility using platform logic, editorial curation, relevance, filters, user activity, promotions, paid placements, featured tools, or other ranking and display factors.

Some parts of the platform may include promoted, featured, boosted, sponsored, or editorially selected content.

Visibility on the platform does not imply endorsement or create an employment, ownership, agency, or control relationship between TheUrbanNet and the provider.

User Conduct

You must use TheUrbanNet lawfully, responsibly, and in good faith.

Users must not:

  • Provide false or misleading information
  • Impersonate another person or organisation
  • Infringe the rights of third parties
  • Upload unlawful, harmful, or inappropriate content
  • Engage in fraud, harassment, or abusive conduct
  • Attempt to gain unauthorised access to the platform
  • Use unauthorised automated tools, scraping systems, or malicious software
  • Interfere with the operation, security, or integrity of the platform

User-Provider Relationships

Any interaction between a user and an independent service provider, including messaging and enquiries, is solely between those parties.

Messaging on TheUrbanNet is provided for initial communication only. It does not constitute booking, contracting, or payment functionality.

TheUrbanNet is not a party to any agreement formed between a user and an independent service provider.

TheUrbanNet is not responsible for:

  • Whether a provider accepts or rejects an enquiry
  • Whether services are delivered on time, properly, safely, lawfully, or at all
  • The quality, suitability, or outcome of any service
  • Pricing disputes, cancellations, refunds, chargebacks, rescheduling, or dissatisfaction
  • Statements, omissions, or representations made by users or providers
  • Injury, damage, loss, or disappointment arising from dealings between users and providers

Users are responsible for carrying out their own checks before engaging a provider. This may include checking suitability, credentials, availability, pricing, insurance, reviews, and any terms offered by the provider.

No Bookings or Payments on the Platform

TheUrbanNet does not currently facilitate, process, or handle bookings, payments, transactions, or contractual agreements between users and independent service providers.

Any messaging functionality is limited to facilitating initial contact and does not form part of a booking, transaction, or contractual process.

TheUrbanNet is a discovery and connection platform only.

Arrangements made outside TheUrbanNet may include:

  • Bookings
  • Payments and deposits
  • Cancellations and refunds
  • Rescheduling
  • Service agreements

TheUrbanNet:

  • Does not process or hold customer funds
  • Does not act as a payment intermediary
  • Does not manage bookings or scheduling
  • Is not involved in financial or contractual relationships between users and providers

Verification and Trust

TheUrbanNet may offer verification, review, moderation, account checks, or trust-related features from time to time.

Any check is limited to the scope stated by TheUrbanNet at the time. It should not be treated as a guarantee, certification, endorsement, or warranty of a provider’s identity, honesty, competence, legality, financial standing, regulatory compliance, or service quality.

Where TheUrbanNet displays an indicator such as “Registration Verified”, it relates only to the specific registration or business information reviewed.

Unless expressly stated otherwise, it does not verify qualifications, licences, certifications, memberships, insurance, professional competence, service quality, or regulatory compliance.

Users remain responsible for making their own decisions when engaging providers.

Credentials, Certifications and Supporting Documents

Providers may choose to display qualifications, certifications, licences, registrations, memberships, insurance documents, or other supporting credentials.

Unless expressly stated otherwise, this information is supplied directly by the provider and is not independently authenticated, verified, endorsed, certified, or guaranteed by TheUrbanNet.

Supporting materials displayed on a provider profile are provided for informational purposes only.

Users are responsible for conducting their own due diligence and assessing the authenticity, validity, currency, suitability, and relevance of any credential before engaging a provider.

TheUrbanNet accepts no responsibility for inaccurate, misleading, expired, fraudulent, incomplete, or outdated credentials or supporting information supplied by providers.

Intellectual Property

All intellectual property rights in TheUrbanNet, including its branding, design, layout, text, graphics, code, software, databases, and platform content other than provider-submitted content, belong to or are licensed to TheUrbanNet LTD.

You must not copy, reproduce, republish, distribute, modify, reverse engineer, extract, scrape, frame, mirror, or commercially exploit any part of TheUrbanNet except where permitted by law or with our prior written consent.

Providers retain ownership of content they lawfully submit.

By uploading or submitting content, providers grant TheUrbanNet a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt, format, display, publish, distribute, and use that content for operating, administering, improving, marketing, and promoting the platform and related services.

Third-Party Services

TheUrbanNet may contain links to third-party websites, tools, payment services, social media pages, embedded content, or external services.

We do not control and are not responsible for third-party sites, systems, products, or services, including their availability, content, security, privacy practices, terms, or performance.

Accessing third-party services is at your own risk.

Privacy and Cookies

Our handling of personal data is governed by our Privacy Policy and Cookie Policy .

By using TheUrbanNet, you acknowledge that personal data may be processed in accordance with those policies.

Platform Availability

We aim to keep TheUrbanNet available and functioning properly, but we do not guarantee uninterrupted access, continuous availability, or that the platform will always be free from bugs, delays, errors, vulnerabilities, or interruptions.

We may carry out maintenance, updates, modifications, emergency work, security reviews, or temporary suspensions at any time.

We may implement technical, operational, and security measures where reasonably necessary to protect the platform and its users.

Suspension and Termination

We may suspend, restrict, remove, delist, disable, or terminate access to any part of TheUrbanNet, an account, a provider profile, or platform content where we reasonably believe that:

  • These Terms have been breached
  • There is a risk to users, the public, or the platform
  • Fraud, abuse, unlawful conduct, or misuse has occurred or may occur
  • Content is inaccurate, misleading, infringing, inappropriate, or harmful
  • Verification requirements have not been met
  • Removal is necessary for legal, regulatory, operational, safety, or reputational reasons

We may take such action with or without notice where reasonably necessary.

Disclaimers

To the fullest extent permitted by law, TheUrbanNet is provided on an “as is” and “as available” basis.

We do not guarantee that the platform will meet your requirements, remain available at all times, or operate without interruptions, errors, or delays.

We do not guarantee that listings, content, communications, provider information, or third-party materials will always be accurate, complete, current, or reliable.

Nothing in these Terms excludes rights or protections that cannot legally be excluded.

Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot legally be excluded or limited

Subject to the paragraph above, and to the fullest extent permitted by law, TheUrbanNet shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive loss
  • Loss of profit, revenue, business, contracts, goodwill, opportunity, or anticipated savings
  • Loss or corruption of data or interruption of business
  • Losses arising from dealings, disputes, or arrangements between users and independent providers
  • Losses arising from reliance on listings, profiles, ratings, content, promotions, trust indicators, or information published by third parties

Where TheUrbanNet is found liable for a claim arising from the platform, our aggregate liability shall, to the fullest extent permitted by law, be limited to the greater of:

  • The amount paid by you to TheUrbanNet during the 12 months before the event giving rise to the claim
  • £100

Indemnity

You agree to indemnify and keep indemnified TheUrbanNet LTD, including its officers, directors, employees, contractors, and affiliates, against losses, claims, liabilities, damages, costs, or expenses arising from your use of the platform.

This may include your breach of these Terms, misuse of the platform, content you submit, or infringement of another person's rights.

This clause applies only to the extent permitted by law.

Consumer Rights

Nothing in these Terms affects statutory rights that users may have under applicable UK consumer law.

If you are a consumer, certain legal rights may apply that cannot be excluded or restricted by contract.

Changes to These Terms

We may update these Terms from time to time to reflect changes to the platform, law, guidance, security requirements, business model, or operational practices.

Where appropriate, we will publish the updated version on the platform, update the effective date, and notify users of material changes where required.

Your continued use of TheUrbanNet after updated Terms take effect constitutes acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be treated as severed and the remaining provisions will continue in full force and effect.

No Waiver

Any failure or delay by TheUrbanNet in exercising a right or remedy under these Terms does not constitute a waiver of that right or remedy.

Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from these Terms, except where mandatory law provides otherwise.
